Corporate Governance Framework

Namakwa Diamonds Limited is governed by the Bermuda Companies Act 1981, as amended, and as a company with a Primary Listing on the Main Market of the London Stock Exchange is subject to the specific rules of corporate governance set out in the UK Corporate Governance Code of the Financial Reporting Council, for the financial period beginning on 1 September 2010.

The Namakwa Diamonds Corporate Governance Framework has been compiled taking into consideration the statutory and regulatory requirements placed on Namakwa Diamonds Limited, as the parent company for the Namakwa Diamonds Group, together with guidance provided from the model terms of reference of the United Kingdom's Institute of Chartered Secretaries and Administrators (ICSA) (October 2010) and Financial Reporting Council's recommendations for changes to corporate reporting and audit (January 2011) and the King Report on Governance for South Africa (September 2009).

The purpose of this Corporate Governance Framework is to facilitate effective, entrepreneurial and prudent management that can deliver long-term success for the Namakwa Diamonds Group.

Anti-Bribery & Corruption Policies and Procedures

As a matter of good corporate governance and in the interests of greater transparency in the diamond industry, the Company has adopted the Namakwa Diamonds Anti-Bribery & Corruption Programme, underlining Namakwa Diamonds' commitment to a strong anti-bribery and corruption policy. The Programme has been developed in line with guidance from the UK Ministry of Justice, Transparency International (“TI”) and the Global Infrastructure Anti-Corruption Centre (“GIACC”) and is reviewed on an annual basis to ensure continued compliance with global best practice.

The Programme includes:

♦    An online-training and certification programme from GIACC
♦    A comprehensive self-evaluation tool from TI for countering bribery

♦    An open letter from the CEO underlining the Group's commitment to the anti-bribery and corruption policy
